1. Introduction

These Terms and Conditions (“Terms”) apply to individuals or companies (“Sales Agents”) who register and provide sales services through the Yiwu Wholesale platform at yiwu-wholesale.eu/sales-agents (“Website”). By becoming a Sales Agent, you agree to comply fully with these Terms.

2. Eligibility

  • Sales Agents must be at least 18 years old and legally capable of entering into binding agreements.
  • Sales Agents must provide accurate, truthful, and updated information during registration.
  • Yiwu Wholesale reserves the right to approve, reject, or suspend any Sales Agent account at its discretion.

3. Role and Responsibilities of Sales Agents

  • Sales Agents act as intermediaries between Yiwu Wholesale, vendors, and potential clients.
  • Agents are responsible for promoting, negotiating, and securing sales on behalf of Yiwu Wholesale.
  • Sales Agents must represent the company professionally and ethically at all times.
  • Agents must not engage in misleading, fraudulent, or dishonest practices.
  • All business activities carried out as an agent must comply with local and international laws.

4. Commission and Payments

  • Sales Agents will be compensated through commissions as agreed upon in their individual contracts or agreements.
  • Commission rates and payment schedules will be communicated clearly in writing.
  • Payments are made after client transactions are verified, processed, and cleared by Yiwu Wholesale.
  • Agents are responsible for their own taxes, insurance, and legal obligations unless otherwise stated.

5. Use of Platform and Tools

  • Yiwu Wholesale may provide Sales Agents with access to marketing tools, digital platforms, and sales materials.
  • Agents agree to use these resources solely for business purposes connected to Yiwu Wholesale.
  • Unauthorized use, reproduction, or distribution of company materials is prohibited.

6. Confidentiality

  • Sales Agents must maintain strict confidentiality regarding client data, vendor details, pricing strategies, and internal company information.
  • Confidential information must not be shared with third parties without written consent from Yiwu Wholesale.

7. Termination of Agreement

  • Yiwu Wholesale reserves the right to terminate or suspend an agent’s account for violation of these Terms or misconduct.
  • Sales Agents may terminate their collaboration by submitting a written notice in advance.
  • Upon termination, all company materials, data, and resources must be returned or deleted.

8. Limitation of Liability

  • Yiwu Wholesale is not liable for any personal expenses, losses, or liabilities incurred by Sales Agents in the course of their independent activities.
  • Sales Agents act as independent contractors, not as employees of Yiwu Wholesale, unless otherwise agreed.
  • Yiwu Wholesale shall not be liable for indirect or consequential damages arising from the activities of Sales Agents.

9. Amendments

  • Yiwu Wholesale reserves the right to modify these Terms at any time.
  • Sales Agents will be informed of updates via email or platform announcements. Continued cooperation implies acceptance of the revised Terms.
